Workplace Behavior

All employees must treat colleagues, clients, and visitors with respect and dignity at all times.

Any form of harassment, discrimination, or bullying must be reported to HR within 24 hours of occurrence.

Employees must not engage in conduct that creates a hostile work environment for any team member.

Disagreements must be resolved through professional dialogue or escalated to a manager; retaliation against anyone who raises a concern is strictly prohibited.

Employees must maintain professional communication standards in all company channels including email, messaging platforms, and video calls.

Conflicts of Interest

Employees must disclose any financial interest in a vendor, competitor, or business partner to the Ethics Officer within 5 business days of discovery.

Employees must not participate in any business decision where a personal financial interest could influence the outcome.

Gifts from vendors or clients with a value exceeding $50 must be reported to the Ethics Officer and may need to be declined or surrendered.

Any outside employment or consulting work that could conflict with Veridian's interests must receive prior written approval from HR.

Confidentiality

Employees must not disclose confidential company information to external parties without explicit written authorization.

Confidential business discussions must not take place in public spaces, including restaurants, airports, or shared co-working areas.

Employees must not use personal email, personal cloud storage, or personal devices to store or transmit confidential company information.

Confidentiality obligations continue for 2 years after the termination of employment.

Social Media

Employees must not post content that could be perceived as representing Veridian Corp's official position without explicit authorization from the Communications team.

Employees must not disclose non-public company information, financial results, or client information on any social media platform.

Negative or disparaging posts about clients, colleagues, or competitors using company information are prohibited and may result in disciplinary action.

Use of Company Assets

Company equipment, software licenses, and facilities must be used primarily for business purposes.

Company assets must not be used for personal financial gain, external business activities, or activities that compete with Veridian Corp.

Employees are responsible for the security of any company equipment in their possession and must report loss or theft within 2 hours.

Reporting Violations

All employees have an obligation to report suspected violations of this Code of Conduct to their manager, HR, or the Ethics Hotline.

Reports may be made anonymously via the Ethics Hotline; all reports will be investigated promptly and impartially.

Retaliation against any employee who reports a genuine concern in good faith is strictly prohibited and is itself a violation of this Code.

The Ethics Officer must acknowledge all reports within 48 hours and provide a final resolution within 30 business days.
